1. Service Engagement Terms

All service engagements begin with a detailed scoping agreement that defines deliverables, milestones, and timelines. Refund eligibility is assessed against the specific terms of each individual service contract.

2. Cancellation Before Work Commences

If you cancel a service engagement before any work has commenced, you are entitled to a full refund of any advance payments made, minus any administrative fees not exceeding 5% of the total contract value.

3. Cancellation During Active Engagement

If you cancel during an active service engagement, refund eligibility is calculated based on the proportion of completed versus remaining work. Payments for completed milestones and delivered work are non-refundable. Any advance payments for undelivered milestones will be refunded on a pro-rata basis within 14 business days.

4. Dissatisfaction with Deliverables

If you are dissatisfied with delivered work, you must notify us in writing within 14 calendar days of delivery. We will review the deliverables against the agreed specifications. If the deliverables materially fail to meet the agreed specifications, we will either (a) remediate the deliverables at no additional cost, or (b) issue a partial refund proportional to the non-conforming portion of the work.

5. Non-Refundable Items

The following are non-refundable: domain registration fees, third-party licensing costs, hosting prepayments, and any custom work already delivered and approved by the client.

Terms of Service

These Terms of Service ("Terms") govern your use of the website and services provided by QuartzLogicHub, located at Lyhrener Dorfstraße 16, 31552 Apelern, Germany. By engaging our services or accessing our website, you agree to be bound by these Terms.

  • "Deliverables" refers to all work products, designs, code, documentation, and materials produced as part of the Services.

2. Scope of Services

The scope, deliverables, timelines, and pricing for each engagement are defined in a separate Service Agreement or Statement of Work (SOW) agreed upon by both parties. These Terms apply to all Services unless explicitly superseded by a specific SOW.

3. Payment Terms

Payment terms are specified in each individual Service Agreement. Unless otherwise agreed, invoices are payable within 14 days of issuance. Late payments may incur a statutory interest rate of 9 percentage points above the European Central Bank base rate in accordance with § 288 BGB (German Civil Code). We reserve the right to suspend work on any project where payment is overdue by more than 14 days.

4. Intellectual Property

Upon full payment of all outstanding invoices, the Client receives full ownership and intellectual property rights to all Deliverables produced specifically for that Client under the relevant Service Agreement. QuartzLogicHub retains the right to use general methodologies, frameworks, tools, and know-how developed during or prior to the engagement. QuartzLogicHub may, with prior written consent, display anonymized case studies of completed work in its portfolio.

5. Confidentiality

Both parties agree to keep confidential all non-public information received from the other party during the course of the engagement. This obligation survives the termination of the Service Agreement for a period of 3 years. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.

6. Limitation of Liability

To the maximum extent permitted by applicable law, QuartzLogicHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (a) the Client's use of the Services or Deliverables; (b) any unauthorized access to or alteration of the Client's data; or (c) any third-party conduct or content on the services. Our total aggregate liability for any claim arising from or related to the Services shall not exceed the total fees paid by the Client under the relevant Service Agreement in the 12 months preceding the claim.

7. Termination

Either party may terminate a Service Agreement with 14 days' written notice. In the event of termination, the Client shall pay for all work completed up to the date of termination. Sections relating to Intellectual Property, Confidentiality, Limitation of Liability, and Governing Law shall survive termination.

8. Data Protection

Both parties shall comply with the GDPR and the BDSG in respect of any personal data processed in connection with the Services. A separate Data Processing Agreement (DPA) may be required where QuartzLogicHub processes personal data on behalf of the Client, in accordance with Article 28 GDPR.

9. Governing Law & Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with these Terms or the Services shall be submitted to the exclusive jurisdiction of the courts in Hameln, Germany.
